"Company", "we", "our" or "us" means Invadex Chiltern Limited T/A Ratcliff & Roper Print Group. "Customer", "you" or "your" means the person, firm or company placing an order. "Goods" means all products and services supplied by the Company.
All quotations are valid for 30 days from the date of issue unless otherwise stated. Quotations are based on the specification provided; any changes to the specification may result in a revised price. An order is only accepted when confirmed in writing by the Company. We reserve the right to decline any order.
The Customer is responsible for ensuring all supplied artwork is print-ready, correctly sized, and at the correct resolution (minimum 300 dpi at final size). Files must be supplied as PDF with bleed (minimum 3mm) where required. The Company is not responsible for errors in Customer-supplied artwork including typos, incorrect colours, or low-resolution images.
Where the Company creates or modifies artwork, one proof will be provided. Additional proof rounds may be chargeable. Once a proof is approved by the Customer, the Company proceeds to print and accepts no liability for errors in the approved proof.
All prices are exclusive of VAT unless otherwise stated. VAT is charged at the rate applicable at the date of invoice. Certain print products are zero-rated for VAT purposes under UK law — we will advise on the applicable rate for your order. Prices on our customer portal are indicative; all confirmed prices are set out in the issued quotation.
New accounts are opened on proforma terms (payment with order) unless credit has been approved in writing by a director of the Company. Approved credit accounts are payable within the agreed terms from the date of invoice. We accept payment by BACS transfer, credit or debit card.

Overdue accounts may be subject to late payment interest at 8% above the Bank of England base rate and compensation charges under the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend services to accounts in arrears.
Delivery times quoted are estimates only and do not form a contractual obligation. The Company is not liable for delays caused by circumstances beyond its reasonable control. Risk in the Goods passes to the Customer on delivery. Delivery charges are as quoted or advised at time of order.
The Customer must inspect goods on delivery and notify us of any damage or shortage within 48 hours. Claims for non-delivery must be made within 7 days of the expected delivery date.
We endeavour to match colours to approved proofs; however, exact colour reproduction cannot be guaranteed due to the nature of print processes and paper stocks. A tolerance of ±5% on quantities delivered is acceptable in the print industry and will be charged accordingly.
The Customer warrants that all artwork, images, logos and copy supplied to us do not infringe any third-party intellectual property rights. The Customer indemnifies the Company against any claim, cost or liability arising from any such infringement.
Artwork created by the Company remains the intellectual property of the Company until all invoices relating to that artwork have been paid in full.
Orders may not be cancelled once artwork has been approved and the job has gone to press. For cancellations prior to this point, the Customer is liable for all costs incurred up to the point of cancellation including artwork, origination and materials.
The Company's total liability in respect of any order shall not exceed the value of that order. The Company is not liable for indirect, consequential or special losses including loss of profit, loss of business or loss of goodwill. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.
The Company shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, pandemic, supply chain disruption, or industrial action.
We process personal data in accordance with our Privacy Policy and applicable data protection legislation including UK GDPR and the Data Protection Act 2018. By placing an order you consent to us processing your data for the purposes of fulfilling that order and managing your account.
These terms and conditions are governed by English law. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
The Company reserves the right to amend these terms at any time. The current version is always available on our website. Your continued use of our services constitutes acceptance of the current terms.
